From Procurement Questionnaire to Standing Answer: How Vendors Sell Into Enterprise

On October 16, 2025, the Cloud Security Alliance released AI-CAIQ v1.0.2, a structured framework designed to help organizations self-assess and validate their adherence to AI-specific controls across governance, security, privacy, and operational resilience. CSA describes it as an extension of the widely adopted CAIQ, built specifically for AI systems. The release matters because it marks the moment AI procurement diligence acquired its own named instrument, distinct from the generic SaaS security review vendors had been answering for the prior decade.
For vendors selling into enterprise, the AI procurement questionnaire is now the gating event. Three instruments dominate. The first is CAIQ paired with the new AI-CAIQ module. The second is the Shared Assessments SIG, whose 2025 release ships in three tiers — SIG Lite at 128 questions, SIG Core at 627, and SIG Detail at 1,936 — across 21 risk domains spanning governance, information protection, IT operations, and incident management. The third is the custom enterprise questionnaire, drafted by a buyer's procurement, security, privacy, and increasingly AI governance teams, which often borrows from both.
The cost of answering these instruments is the cost of doing enterprise business. Security questionnaires range from 50 to 500+ questions and consume 10 to 40 hours of combined effort without automation. Across AI-CAIQ, SIG 2025, and the custom enterprise questionnaires layered on top of them, the categories vendors should expect include:
- AI inventory. Which models are in scope, foundation versus proprietary, and what fine-tuning has been performed.
- Training data. Source, licensing posture, and the vendor's position on lawful corpus. Holon Law Partners notes that “if training data incorporates third party protected content without authorization, a customer may face claims based on their use of the AI system,” which is why IP indemnification now routes through diligence rather than waiting for redlines.
- AI governance. Alignment with NIST AI RMF and ISO 42001, the existence of an AI Council or equivalent oversight body, and the surrounding policy stack. Practitioner consensus across 2025 is that ISO 42001 certification is increasingly a procurement requirement rather than a differentiator, with enterprise buyers in financial services, healthcare, and the public sector beginning to require it as a condition of vendor qualification.
- AI BOM disclosure. A structured inventory of model components, dependencies, and data lineage, often requested in OWASP or SPDX-aligned formats.
- Security. Model-level controls, prompt injection mitigation, and data isolation between tenants and between training and inference.
- Compliance posture. Readiness for TRAIGA, the EU AI Act, the Colorado AI Act, and NYC Local Law 144, mapped to the customer's deployment context.
- Incident reporting. Triggering events, notification timelines, and the format of post-incident artifacts.
- Sub-processor and vendor stack. Whose models, infrastructure, and data the vendor relies on downstream.
- Audit rights. What the customer is permitted to verify, at what cadence, and through what mechanism.
- Termination posture. Data return, model deletion, and the handling of fine-tuning artifacts at end of contract.
The pattern matters more than any single line item. Categories repeat across deals. That structural repetition is what makes a standing answer viable — and what Section 3 turns into an operating asset.

Mid-market AI vendors lose deals not because they fail the questionnaire but because they answer it ad-hoc. Each new buyer triggers a fresh scramble across engineering, security, legal, and product to assemble responses, often producing inconsistent positions across deals — one buyer is told the model retrains monthly, another is told quarterly, and legal review surfaces the discrepancy weeks later. The result is high latency, position drift, and stalled sales cycles at exactly the procurement stage where momentum matters most.
The remedy is a standing answer: a maintained, version-controlled artifact that pre-answers the eighty-plus percent of questionnaire categories that recur across buyers. Rather than drafting from scratch, the vendor's response team pulls from a single canonical source, then tailors only the deal-specific deltas. A credible standing answer is not a marketing PDF. Each section needs to be backed by underlying documentation the legal team can stand behind at signing: an AI bill of materials in a machine-readable format such as OWASP AI BOM or SPDX, an alignment summary mapping controls to the NIST AI RMF and ISO 42001, sample lawful-corpus warranty language, a current sub-processor list, and an incident response summary. Without those substrates, the standing answer is just faster-delivered representations the vendor cannot defend.
Update cadence matters as much as initial build. The payoff shows up in two places. Deal velocity improves because the response team is editing rather than authoring. Here is the failure mode that stalls deals at the one-yard line: a vendor's questionnaire response asserts a lawful-corpus warranty, full IP indemnification, and model-change notice. The buyer's procurement team scores the response well and routes to legal for paper. The buyer's general counsel pulls the vendor's MSA and finds none of those commitments in the signable document. The deal does not die — it stalls, sometimes for weeks, while the vendor's counsel scrambles to produce an addendum that actually matches what sales already promised.
The structural reason this happens is that data-handling and AI-specific terms are not native to the standard MSA. Practitioner consensus is that these provisions “don't always sit in the standard MSA, and they're easy to miss without a careful legal review,” which is why an AI Addendum is now treated as a separate instrument — most MSAs do not address whether the vendor will defend the buyer when the model produces infringing or biased output. The IP indemnity itself is contested ground. Vendors resist indemnifying against training-data claims when they do not control corpus provenance, and the market has settled toward hybrid indemnity models in which the vendor covers model-level risks while the customer carries responsibility for prompting, fine-tuning, and deployment.
The fix is structural, not editorial. Promise Legal's recommendation to vendor-side counsel is to generate the standing answer from the signable contract template rather than maintaining the two artifacts on parallel tracks. That alignment also forces honest answers on the two questions buyers ask hardest. A lawful-corpus warranty after Bartz requires one of three defensible postures — a documented licensing chain, a fair-use position with explicit carve-outs, or pass-through indemnity from a third-party model provider. And the disclosure side increasingly demands an AI BOM aligned to OWASP and SPDX schemas. When the contract, the standing answer, and the disclosure artifact agree, procurement closes. When they diverge, it is the vendor's own paper that kills the deal.
Implications for the Vendor GC
The structural pattern across recent enterprise diligence engagements is consistent: deals stall not because vendors lack a position on AI governance, but because the position is asserted ad-hoc across multiple questionnaires and inconsistent with the signable contract. Three immediate moves close that gap.
- Audit the last five enterprise questionnaire responses against the current MSA. Flag every place where a security, training-data, or model-provenance answer says something the contract does not.
- Build the standing answer artifact with cross-departmental ownership. Sales, security, legal, and product each own a column; legal owns the master version and the change log.
- Tie the standing answer to a contract addendum that captures disclosed positions in writing — most directly through the eight-clause AI vendor contract template, supported by AI BOM disclosure standards and lawful-corpus warranty drafting.
The leverage point is timing. Building the standing answer pre-deal preserves negotiating leverage; building it mid-deal — once a buyer's GC has flagged the inconsistency — forfeits it, leaving the vendor to accept buyer-favorable language, restate the questionnaire response and lose trust, or lose the deal. Vendors should engage counsel before the next enterprise deal, not after.
